Courtenay focuses on leading an ongoing series of acquisitions for a healthcare company, which involves drafting and negotiating purchase agreements and employment agreements for multiple acquisitions at a time, and driving the transactions towards closing. She has experience with corporate practice issues and management company structures in the healthcare industry. Courtenay also has experience with Patriot Act disclosures.
Prior to joining the firm, Courtenay practiced at DLA Piper in Baltimore, Maryland.
Representative Experience
- Represented a practice management services company in series of add-on acquisitions ranging from $200,000 to $100 million and in subsequent $2.7 billion sale to global investment management firm. Continued representation of a practice management services company with respect to ongoing add-on acquisitions, drafting, and negotiating employment agreements, and general corporate matters
- Represented the financial sponsor in the $300 million acquisition of a retail eye wear business, and equity recapitalization and subsequent add-on acquisitions
- Represented the financial sponsor in the $600 million sale of a retail eye wear business to a private equity group based in Canada
- Represented the founders in the sale of a retail veterinary practice group to a financial sponsor
- Represented the founders in the sale of veterinary practice to a financial sponsor
- Represented the founders of an orthodontic practice in organizational, employment, and general corporate matters
