Overview
Lesley’s practice includes a broad range of corporate transactional matters, with a focus on mergers, acquisitions, divestitures, carve-out transactions, and private equity investments. She also routinely advises clients in general corporate matters, such as the formation, structuring, and governance of privately held business entities, and the drafting and negotiating of commercial contracts. Lesley enjoys working with founders and management teams on all of their day-to-day legal issues, regardless of industry, and is frequently described as an “outside general counsel” to several of her clients.
Lesley’s clients include businesses in a variety of industries, such as manufacturing, software, packaging, transportation and logistics, life sciences, and energy. Those clients appreciate her practical approach to resolving the unforeseen issues that invariably arise in corporate transactions to ensure that deals get done in a timely and efficient manner.
Representative Experience
- Represented a multinational consumer packaging company in multiple carve-out divestitures with an aggregate value of over $1 billion
- Represented a multinational, Paris-based provider of cable and fiber optics in the divestiture of its North American local area network copper and fiber cable manufacturing business in a transaction valued at $202 million
- Represented a global packaging solutions provider in its strategic acquisition of a manufacturer of thermoformed packaging for the healthcare, medical device, and consumer markets for approximately $187 million
- Represented the founders of a chain of specialty pharmacies in an auction process and sale to a financial sponsor
- Represented a privately-held litigation support services provider in an auction process and sale to a private equity fund and in numerous add-on acquisitions
- Represented a B2B technology and data-driven solutions company in its sale to a Canadian utility
- Represented a privately held foundation repair business in its merger with a newly formed subsidiary of a private equity fund
- Represented an independent sponsor in the acquisition of a manufacturer of custom packaging and shrink sleeve labels for the craft beverage industry
- Represented a private government contractor in its strategic acquisition of various federal, state, and local government suppliers
- Represented a public utility and an infrastructure-focused private equity fund in the $600 million sale of a fiber optic cable business
- Represented a portfolio company of an infrastructure private equity fund in the divestiture of a cogeneration facility located in Florida to a public utility for $451 million (inclusive of debt)
- Represented a public utility in the sale of its interest in 14 cooling and cogeneration facilities
- Represented the founders of a data sanitization services business in an auction process and sale to a financial sponsor
- Represented the portfolio company of a private equity firm in numerous add-on acquisitions in the professional education services sector
- Represented a private equity sponsor in connection with a dividend recapitalization of a portfolio company
- Represented a publicly-traded Canadian corporation in the restructuring of its U.S. operations
