We regularly represent independent sponsors in connection with all facets of their acquisition transactions. Our group understands the nuances of independent sponsor deals, including the simultaneous workstreams and constituencies that independent sponsors need to manage, and we go beyond simply applying middle-market private equity knowledge to these complex transactions. We provide pragmatic guidance and solutions to the issues that independent sponsors may encounter as they seek to minimize risks and realize business objectives.
Our independent sponsor practice brings a strategic and full-service approach to independent sponsor M&A. Our mergers and acquisitions team’s experience includes structuring transactions, developing strategies and understanding “market” transaction terms in the independent sponsor market. In addition, our firm provides comprehensive experience beyond mergers and acquisition services, such as tax and structuring, corporate finance (including attorneys with specific knowledge of independent sponsor equity finance and borrower side debt finance), environmental, intellectual property, labor and employment, antitrust, litigation and real estate. We have extensive experience advising independent sponsor clients in all aspects of buying and selling businesses, including purchases and sales of equity and assets, merger transactions, private and public company carve-out transactions, cross-border transactions, recapitalizations and other corporate restructurings.
Our group combines deep industry knowledge related to the regulatory and transactional aspects of independent sponsors and their transactions with the ability to address multi-faceted business objectives. We assist our clients from pre-letter of intent planning and structuring through due diligence, negotiating and drafting definitive documentation, financing, closing and resolution of post-closing adjustments and other post-closing issues.
Moore & Van Allen also represents lenders, equity co-investors and other capital providers in connection with their investment activity in independent sponsor transactions. We have deep experience representing both active and passive majority and minority equity co-investors in their financing of independent sponsor transactions.
